You are strongly encouraged to consult with a qualified attorney in California to review these Terms and to understand your rights and obligations.

Welcome to Rebate Realty, Inc.. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and platforms, including but not limited to the submission of real estate property information and deals ("Deal Submissions") through our website or other channels (collectively, the "Service").

By accessing or using our Service, including making a Deal Submission, you signify your binding acceptance of these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

  • "Rebate Realty, Inc.," "we," "us," or "our" refers to Rebate Realty, Inc., its affiliates, directors, officers, employees, agents, and assigns.
  • "User," "you," or "your" refers to any individual or entity accessing or using our Service, including those making Deal Submissions.
  • "Property Information" refers to any and all data, details, images, documents, financial information, disclosures, and other materials related to a real estate property submitted through our Service.
  • "Partner" refers to Rebate Realty, Inc.'s internal team, affiliated agents, external investors, potential buyers, financial partners, joint venture partners, and other third-party service providers or collaborators.

2. Eligibility

You must be at least 18 years of age and possess the legal authority to enter into binding contracts to use our Service. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Deal Submissions

3.1. User Representations and Warranties

When you make a Deal Submission, you represent, warrant, and covenant that:

  • All Property Information you provide is accurate, current, complete, and not misleading to the best of your knowledge, information, and belief.
  • You have the full legal right, authority, and capacity to submit the Property Information and to grant the permissions and licenses described in these Terms. This includes, without limitation, being the legal owner of the property, holding a valid, enforceable, and assignable contract or option to purchase the property from the legal owner(s) of record, or being an authorized agent with explicit, written permission from the property owner or contract holder. You agree to provide proof of such authority upon request byRebate Realty, Inc..
  • The property is not subject to any undisclosed lis pendens, bankruptcy proceedings, injunctions, or other legal or equitable encumbrances that would prevent or materially impair the sale, assignment, or transfer of the property or your rights therein as represented in your Deal Submission.
  • If you are submitting the deal as a wholesaler or under an assignable contract, such contract is valid, enforceable, and assignable in accordance with its terms and applicable law, and you are not engaging in any activity that would constitute unlicensed real estate brokerage activity under California law if you are not a licensed real estate broker or salesperson in California.
  • All material facts and disclosures concerning the property's condition, title, and any known defects or environmental hazards, as required by California law (including but not limited to those typically included in a Transfer Disclosure Statement (TDS), Seller Property Questionnaire (SPQ), Natural Hazard Disclosure (NHD), etc., if applicable to your role in the transaction) have been or will be truthfully and accurately provided or made available by the seller or you, as applicable.
  • The Property Information and your submission do not infringe upon or violate the rights of any third party, including intellectual property rights, privacy rights, or contractual rights.
  • You will promptly update any Property Information if it materially changes or if you become aware of any inaccuracies after submission.

3.2. Grant of License and Permission to Market

By making a Deal Submission, you expressly grant Rebate Realty, Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit the Property Information, in whole or in part, in any form, media, or technology now known or hereafter developed, for the purposes of evaluating, marketing, and facilitating a potential transaction for the subject property.

This license includes, without limitation, the right for Rebate Realty, Inc. to:

  • Share and distribute the Property Information with our Partners as we deem appropriate in our sole discretion to assess and promote the deal.
  • Market the property through various channels, which may include online listings (including MLS, subject to applicable rules and necessary permissions if Rebate Realty, Inc. acts as a listing agent), email marketing, direct outreach to our network, presentations, and other promotional activities.
  • Contact you, the property owner (if authorized), or other relevant parties to gather further information, arrange showings, and facilitate communication between interested parties.
  • Bring a buyer, investor, or facilitate a transaction for the property. This may involve Rebate Realty, Inc. acting in various capacities (e.g., as an agent for a buyer, as a principal, as an intermediary, or, if separately agreed in writing, as an agent for you or the seller), subject to any separate written agreements that may be entered into and all applicable California real estate licensing laws.

You acknowledge that this permission is a fundamental basis of our Service and is necessary for us to evaluate and potentially find a buyer or investor for the submitted deal. This license shall survive any termination of these Terms or your use of the Service.

3.3. No Guarantee of Sale or Offer

Submitting a deal to Rebate Realty, Inc. does not obligate us to market the property, present offers, or guarantee any specific outcome, including a sale or investment. We reserve the right to reject or decline to pursue any Deal Submission in our sole discretion without providing a reason. Rebate Realty, Inc. makes no representations or warranties regarding the likelihood, timing, or terms of any potential transaction.

3.4. Confidentiality of Submissions

You acknowledge that the primary purpose of your Deal Submission is for Rebate Realty, Inc. to market the property and share the Property Information with potential buyers and Partners. Therefore, you should not submit information that you consider highly confidential and do not wish to be shared for such marketing and transactional purposes. While Rebate Realty, Inc. will endeavor to handle Property Information with commercial reasonableness, we are not responsible for maintaining the confidentiality of information that is publicly available, becomes publicly available through no fault of our own, is independently developed by us or our Partners, or is shared in accordance with the license granted herein.

4. Role of Rebate Realty, Inc. and Relationship with Users (Including Agents)

4.0. General Role of Rebate Realty, Inc. with Users

Unless otherwise explicitly agreed to in a separate written agreement signed by an authorized representative of Rebate Realty, Inc. (such as a listing agreement, buyer representation agreement, or referral agreement), you acknowledge and agree that:

  • Rebate Realty, Inc. is acting as a facilitator, finder, or intermediary for the purpose of connecting Users who submit deals with potential buyers, investors, or other Partners in our network.
  • The submission of a deal or use of the Service does not, in itself, create an agency relationship (e.g., broker-client), fiduciary duty, or exclusive arrangement between you and Rebate Realty, Inc..
  • Rebate Realty, Inc. relies on the accuracy and completeness of the Property Information provided by Users. While we may undertake some level of review or due diligence, we do not independently verify all Property Information and are not responsible for errors, omissions, or misrepresentations made by Users.
  • Rebate Realty, Inc. does not provide legal, financial, tax, or appraisal advice. Any information, market analysis, or valuation estimates provided by Rebate Realty, Inc. are for informational purposes only and should not be relied upon as professional advice. You are encouraged to seek independent professional counsel.
  • Rebate Realty, Inc. is not a party to any subsequent transaction that may occur between a User and a buyer, investor, or Partner, unless Rebate Realty, Inc. is explicitly named as a party or agent in a written agreement governing such transaction.

4.1. Relationship with Agents Partnering with Rebate Realty, Inc.

If you are a licensed real estate agent or broker ("Agent") who partners, collaborates, or works with Rebate Realty, Inc., including under any arrangement described by Rebate Realty, Inc. or yourself as "exclusive," "preferred," or otherwise, you acknowledge and agree to the following, unless superseded by a separate, written Independent Contractor Agreement or employment agreement executed between you and an authorized representative of Rebate Realty, Inc.:

  1. Independent Contractor Status: You operate as an independent contractor and are not an employee, partner, legal representative, or agent of Rebate Realty, Inc. (the corporate entity) for any purpose. You are not authorized to act on behalf of, speak for, enter into contracts for, or bind Rebate Realty, Inc. in any manner.
  2. No Authority to Represent Rebate Realty, Inc.: You shall not hold yourself out as an employee or direct corporate agent of Rebate Realty, Inc.. Any marketing materials, communications, or representations you make must clearly identify your independent status and, if applicable, your responsible broker of record in compliance with California Department of Real Estate regulations. You have no authority to make any promises, warranties, or representations on behalf of Rebate Realty, Inc..
  3. Responsibility for Own Conduct and Compliance: You are solely responsible for your own actions, omissions, representations, and full compliance with all applicable federal, state (including California real estate licensing laws, DRE regulations, and ethical obligations), and local laws. This includes responsibility for your own business expenses, taxes, insurance (including Errors & Omissions insurance), and licensing.
  4. No Vicarious Liability for Rebate Realty, Inc.: Rebate Realty, Inc. shall not be vicariously liable or responsible in any way for any of your acts, errors, omissions, misrepresentations, negligence, or breaches of contract or law. You agree to indemnify and hold Rebate Realty, Inc. harmless from any claims arising from your conduct as an Agent, as further detailed in the Indemnification section of these Terms.
  5. Nature of "Exclusive" Arrangements: Any reference to an "exclusive" working relationship or similar terminology, if used, pertains to operational protocols, deal flow priorities, or specific collaborative marketing efforts as may be defined in a separate understanding, and does not alter your fundamental status as an independent contractor to Rebate Realty, Inc. nor does it create an employment or principal-agent relationship with Rebate Realty, Inc. itself.

5. User Conduct and Compliance with Laws

You agree not to use the Service to:

  • Submit false, misleading, or fraudulent information.
  • Infringe on any third party's intellectual property or other proprietary rights.
  • Violate any applicable local, state (including all California real estate laws and regulations, disclosure requirements, fair housing laws, and advertising rules), national, or international law, statute, ordinance, or regulation.
  • Engage in any activity that constitutes unlicensed brokerage activity if you are not appropriately licensed.
  • Engage in any activity that interferes with or disrupts the Service or its servers or networks.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation.

You are solely responsible for ensuring your conduct and Deal Submissions comply with all applicable laws.

6. Intellectual Property

Excluding the Property Information you submit (for which you grant us a license as described in Section 3.2), all content, features, and functionality on our website and Service, including text, graphics, logos, icons, software, and the arrangement thereof, are the exclusive property of Rebate Realty, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Disclaimers of Warranties

THE SERVICE AND ALL INFORMATION PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

Rebate Realty, Inc. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Rebate Realty, Inc. DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR QUALITY OF ANY INFORMATION, INCLUDING PROPERTY INFORMATION, MARKET ANALYSIS, OR OTHER CONTENT OBTAINED THROUGH THE SERVICE. YOU ACKNOWLEDGE THAT ANY RELIANCE ON SUCH INFORMATION OR CONTENT IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Rebate Realty, Inc., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO: (I) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE, INCLUDING OTHER USERS OR PARTNERS; (III) ANY PROPERTY INFORMATION OBTAINED FROM OR SUBMITTED TO THE SERVICE; (IV) THE PERFORMANCE OR NON-PERFORMANCE OF ANY PARTY TO A REAL ESTATE TRANSACTION THAT MAY ARISE FROM A DEAL SUBMISSION; (V) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS, DEAL SUBMISSIONS, OR CONTENT; OR (VI) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF Rebate Realty, Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Rebate Realty, Inc.'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS, CAUSES OF ACTION, OR LIABILITIES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, PAID BY YOU TO Rebate Realty, Inc. FOR USE OF THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless Rebate Realty, Inc. and its affiliates, directors, officers, employees, agents, and Partners from and against any and all claims, actions, demands, damages, obligations, losses, liabilities, settlements, costs, debt, and expenses (including but not limited to reasonable attorney's fees and costs) arising from or related to: (i) your use of and access to the Service; (ii) your violation or alleged violation of any term of these Terms, including any breach of your representations and warranties; (iii) your violation of any third-party right, including without limitation any copyright, trademark, trade secret, property, privacy, or contractual right, related to your Deal Submission or Property Information; (iv) any claim that your Property Information caused damage to a third party or was inaccurate, misleading, or incomplete; (v) your violation of any applicable law, rule, or regulation, including California real estate laws; or (vi) any dispute between you and any third party (including property owners, buyers, or other Users) arising from or related to a Deal Submission or any ensuing transaction or attempted transaction. This defense and indemnification obligation will survive these Terms and your use of the Service. Rebate Realty, Inc. reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate withRebate Realty, Inc. in asserting any available defenses.

10. Governing Law and Dispute Resolution

10.1. Governing Law

These Terms and any action, dispute, or claim related thereto will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms.

10.2. Mandatory Mediation

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof (collectively, a "Dispute"), the parties hereto shall use their best efforts to settle the Dispute. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of sixty (60) days, then, upon notice by either party to the other, all Disputes shall be submitted to mediation in Los Angeles County, California, with a mediator mutually agreed upon by the parties. If the parties cannot agree on a mediator within thirty (30) days of the notice for mediation, a mediator will be appointed by JAMS or a similar reputable mediation service. The costs of mediation shall be shared equally by the parties.

10.3. Binding Arbitration

If the Dispute is not resolved through mediation within ninety (90) days of the initiation of mediation (or such longer period as the parties may agree), then such Dispute shall be resolved exclusively by final and binding arbitration administered by JAMS (or, if JAMS is unavailable, another nationally recognized arbitration provider agreed upon by the parties) in accordance with its Comprehensive Arbitration Rules and Procedures (or, for claims under $250,000, its Streamlined Arbitration Rules and Procedures), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place in Los Angeles County, California. The arbitrator(s) shall be experienced in real estate law and commercial contract disputes. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

10.4. Class Action Waiver

YOU AND Rebate Realty, Inc. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Rebate Realty, Inc. agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.5. Attorney's Fees

In any action, proceeding, mediation, or arbitration arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.

10.6. Exception for Injunctive Relief

Notwithstanding the foregoing, either party may seek preliminary injunctive relief or other equitable remedies in a court of competent jurisdiction in Los Angeles County, California, to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights, or to enforce the confidentiality provisions of these Terms.

11. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. Notice may be provided by posting the updated Terms on our website, by sending an email to the address associated with your account (if any), or by other means we deem appropriate. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service. It is your responsibility to review these Terms periodically for changes.

12. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

13. Miscellaneous Provisions

13.1. Entire Agreement

These Terms, together with our Privacy Policy (which is incorporated herein by reference), constitute the entire agreement between you and Rebate Realty, Inc. regarding your use of our Service and supersede and replace any prior or contemporaneous agreements, understandings, or representations, whether written or oral, regarding the Service.

13.2. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

13.3. Waiver

No waiver by Rebate Realty, Inc. of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure ofRebate Realty, Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Rebate Realty, Inc.. Rebate Realty, Inc. may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction or notice to you. Any attempted assignment by you in violation of this provision shall be null and void.

13.5. Force Majeure

Rebate Realty, Inc. shall not be liable for any failure or delay in performance under these Terms due to acts of God, war, terrorism, strikes, labor disputes, embargoes, government orders, pandemics, epidemics, natural disasters, or any other causes beyond our reasonable control.

13.6. Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by Rebate Realty, Inc. (i) via email (to the address that you provide or associated with your account, if any) or (ii) by posting to the Service. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
